Please read these terms carefully. By using Oligo PayTo® (“PayTo”) services, you agree to be bound by these Terms. If you do not agree, do not use the Service.
These Terms, together with our Privacy Policy (available at https://oligo.com.au/legal/privacy-policy/) govern your access to and use of the PayTo Service (the “Service”) and the Oligo platform interface (the “Solution”).
In these Terms, “Oligo”, “we”, “us”, and “our” refer to Oligo Payments Pty Ltd ACN 680 598 029. The terms “you” and “your” refer to the person accessing or using the Service.
1. Acceptance and Term
1.1. These Terms set out the conditions under which we provide the Service.
1.2. By clicking to accept these Terms or by using the Service, you confirm you have the legal capacity to enter into these Terms.
1.3. These Terms commence on the date you accept them and remain in effect until any Initiated Payment is completed (whether successfully or unsuccessfully).
1.4. Your use of the Service is conditional on your Account being maintained with a Bank or Account Provider that is integrated into the Solution. We may, at our discretion, determine which Bank or Account Providers are supported.
1.5. You acknowledge that we may require third-party providers to assist in providing the Service, and their terms may apply in connection with their provision of the Service.
2. The Service
2.1. Payment Authorisation
(a) You represent and warrant that you are the lawful holder of the relevant Account and have the authority to provide instructions to make Initiated Payments.
(b) When you submit Initiated Payment instructions via the Solution, you are providing explicit consent for Oligo to forward those instructions to your Bank or Account Provider.
2.2. Recurring Payment Mandates
(a) If you choose to establish a Recurring Payment Mandate, you authorise Oligo to submit future Initiated Payments in accordance with the agreed parameters.
(b) You may set limits on the amount and frequency of each payment under a Recurring Payment Mandate.
(c) You cannot cancel an Initiated Payment once authorised and submitted under a Recurring Payment Mandate if it is processed immediately by your Bank or Account Provider.
(d) If you approve a Recurring Payment Mandate or a one-off payment on a non-banking day, the payment will be considered approved on the next banking day unless otherwise stated by your Bank or Account Provider.
(e) You may be redirected to your Bank or Account Provider’s interface to authenticate the payment. Authentication requirements are determined by your Bank or Account Provider and may not be required for payments under a Recurring Payment Mandate.
2.3. Payment Processing
(a) The execution of an Initiated Payment is dependent on your Bank or Account Provider and the banking infrastructure.
(b) Oligo is not responsible for delays once the Initiated Payment instructions are submitted.
(c) You acknowledge it is your responsibility to ensure all payment details are accurate. Oligo will not be liable for incorrect or misdirected payments caused by your error.
3. Security and Fraud
3.1. You must take all reasonable steps to protect your Account credentials, including passwords and authentication factors.
3.2. Do not allow unauthorised persons to access your credentials or leave devices unattended while using the Service.
3.3. You must notify us immediately if you suspect an unauthorised or incorrect Initiated Payment and also contact your Bank or Account Provider.
3.4. Oligo may suspend or restrict your use of the Service if we detect suspected fraud, security threats, or where required by law.
3.5. Any report of an unauthorised, late, or incorrect Initiated Payment must be made within 13 months of the payment date to preserve rights under applicable law, including the ACL.
4. Merchant Independence
4.1. Merchants and Merchant Providers are independent of Oligo.
4.2. Oligo does not verify the adequacy, quality, or legality of any Merchant Supplies. Any dispute regarding goods or services must be resolved directly with the Merchant.
4.3. No Merchant or Merchant Provider has authority to bind Oligo or act as its agent.
5. Fees
5.1. Oligo does not currently charge you any fees for using the Service or for access to the Solution.
5.2. Oligo may have commercial or financial arrangements in place with the Merchant who has directed you to use the Service. These arrangements do not affect the amount you pay for the goods or services you purchase from the Merchant.
5.3. The Merchant may charge you fees in connection with your purchase of goods or services, or for using the Service. Any such fees are determined by the Merchant and are not set or controlled by Oligo.
5.4. Your Bank or Account Provider may charge you fees in relation to the processing or execution of an Initiated Payment. You are responsible for any such fees and should contact your Bank or Account Provider if you have questions about their charges.
6. Liability
6.1. Oligo’s liability is limited to that which cannot be excluded under Australian law, including the ACL.
6.2. We are not liable for:
(a) delays or failures in payments due to Bank or Account Providers or banking infrastructure;
(b) incorrect payments caused by your input errors;
(c) unauthorised payments where you have not taken reasonable precautions.
6.3. You indemnify Oligo for any losses arising from unlawful Initiated Payments or misuse of the Service.
6.4. Nothing in these Terms limits your rights under consumer guarantees or mandatory provisions of Australian law.
7. Intellectual Property
7.1. Oligo owns all intellectual property in the Service, Solution, and content.
7.2. You may use the Service only as permitted by these Terms.
8. Variation
8.1. Oligo may amend these Terms. We will provide reasonable notice of changes via the Solution or email.
8.2. Your continued use of the Service constitutes acceptance of any amended Terms.
9. Governing Law
9.1. These Terms are governed by the laws of Australia.
9.2. The courts of Victoria have exclusive jurisdiction, except to the extent that mandatory Australian consumer protection provisions apply.

11. Definitions
In these Terms:
Account means an online account which you hold with a Bank or Account Provider and from which you may make payments using PayTo.
Bank or Account Provider means an authorised deposit-taking institution or other account provider which maintains an Account for you.
Initiated Payment means an instruction submitted via the Service to your Bank or Account Provider to make a payment to a Merchant or Merchant Provider.
Merchant means a person or business to whom you make an Initiated Payment in respect of goods or services.
Merchant Agreement means an agreement, however created or recorded, between you and a Merchant for the provision of goods or services.
Merchant Provider means a person appointed by a Merchant to receive payments on the Merchant’s behalf.
Recurring Payment Mandate means an ongoing arrangement enabling Oligo to submit Initiated Payments to a Merchant or Merchant Provider without requiring repeated authorisation from you, within agreed parameters.
Service means the PayTo service, enabling you to provide instructions to your Bank or Account Provider to make payments to a Merchant or Merchant Provider in accordance with these Terms.
Solution means the interface, embedded in a Merchant’s website or provided by Oligo, through which you access the Service.
